Inauguration of Compliance Week 2017 by Legasis Services Pvt. Ltd. (Legasis)

Legasis Services, the Pioneer in providing IT enabled compliance procurement and several other solutions, is also engaged in the mission of spreading awareness about compliance and building up a Compliance Culture in businesses through its innovative event called ‘Compliance 10/10.’
The function is celebrated on 10th of October every year at Mumbai. However, in order to reach out to clients all over India to hold compliance related awareness sessions, the inaugural ceremony held in Pune, marks the commencement of Compliance Week. Besides discussions and deliberations on Governance, Ethics and Compliance issues during the Inaugural function, 10 teams visiting 10 different states are flagged-off on this occasion.

In continuance of this mission, for the last 3 years, this year too, the Inaugural function was enthusiastically held at MCCIA, Senapati Bapat Rd, Pune.

The Guest of Honour, Dr. Anant Sardeshmukh, Director General MCCIA, addressed the gathering and spoke at length about the importance of compliance and the need to simplify them for SMEs.

Thereafter, Mr. Suhas Tuljapurkar, Founder Director, Legasis Services and Partner, Legasis Partners, in his speech talked about his vision that led to this initiative of Compliance 10/10 and how every year the Mission of Compliance is taken forward through different themes and projections.

The Special Invitee, Dr. Ravikumar Chitnis, Principal of MITSOM College, speaking at the occasion threw light upon the governance issues and fraud in the Indian corporate sector and also suggested benchmarking and rating of companies in terms of their compliance management.

The Key note Speaker, Hon’ble Justice Mr. H.L. Gokhale (Retd. Judge, Supreme Court) talked about the frequent changes in the legislations and the challenges faced by the corporates, enforcement agencies and judiciary in implementing the same. The Inauguration was followed by an insightful panel discussion on “Companies Act 2013 and Corporate Governance” by eminent speakers like Mr. Makarand Lele, Vice President, ICSI, Mr. J. Shridhar, Vice President and CS, Bajaj Auto Ltd. and Mr. Suhas Tuljapurkar, Founder Director, Legasis Services Pvt. Ltd. The panel discussion was moderated by Mr Apurv Sardeshmukh, Partner, Legasis Partners.

In an interactive session, Mr. Rohit Kulkarni, talked about the “Role of Independent Directors beyond the Companies Act.” In another informative panel discussion on “Impact of Changing Legal Environment on Corporate India,” eminent speakers engaged the audience with a discussion on GST, RERA, Data Protection and other industry specific legislative changes. The speakers included Mr. Shrinivas Naidu, Head Corporate Strategy, Vodafone, Mrs. Urmi Rambhai, Senior Manager, Deloitte, Ms. Upasana Ghai, General Counsel and Company Secretary, TATA Technologies Ltd. and Mr. Niraj Gupta, Group CFO, Goel Ganga Group. The panel discussion was moderated by Mr Apurv Sardeshmukh, Partner, Legasis Partners.

Mr. Ramesh Sharma, Executive Director of Legasis Services Pvt. Ltd. addressed the audience while emphasizing on importance of compliance awareness in private and public sectors.

Nehal Vora : Governance
He has more than 18 years of rich and varied experience in the area of compliance and regulation.

Nehal is the Chief Regulatory Office of BSE Limited and heads all the regulatory functions at BSE. As a board member of Indian Clearing Corporation Limited he oversees the activities of the clearing corporation in a supervisory capacity especially in the areas of regulation. Other Board Memberships include that of National Power Exchange Ltd., United Stock Exchange, Asia Index Pvt. Ltd., BSE Institute Ltd. He is also a member of the Risk Management Review Committee of SEBI and the Risk Management Committee of Forward Markets Commission. He is also chairing the Task Force on Cyber Crime for the Affiliate Members Consultative Committee as a part of the IOSCO deliberations and is a regular speaker at the IOSCO and other international events in the areas of corporate governance, regulation and surveillance.

Earlier, as Director, Compliance at Merrill Lynch, India, he headed the compliance for the broking, investment banking and fixed income businesses. In recognition of his commitment and dedication to the Compliance Function at Merrill Lynch, he was awarded OGC Living the Mission Award in 2008.

Prior to that he has worked with the Securities and Exchange Board of India (SEBI) for more than 10 years. He holds a Commerce degree from Mumbai University, a Master of Management Studies degree in Finance from the Narsee Monjee Institute of Management Studies, University of Mumbai



Milind Sarvate : Governance
Milind Sarwate is the Founder & CEO of Increate Value Advisors LLP. His mission is to facilitate value creation, both business & social, using his experience of 34 years in Finance, HR & Strategy in groups such as Marico & Godrej.

Milind plays advisory roles in several organizations, and is an Independent Non-Executive Director in 8 companies, including Glenmark, Mindtree, CARE Ratings, Matrimony.com and House of Anita Dongre. He is also an investor in a few business & social enterprises.

Milind is a Chartered Accountant, Cost Accountant & Company Secretary, a B. Com. (Honours) from the University of Bombay, and a CII-Fulbright Fellow (Carnegie Mellon University, Pittsburgh, U S A).

Milind received the ICAI Award -CFO - FMCG category in 2011, and the CNBC TV-18 Best Performing CFO Award -FMCG & Retail in 2012. During 2013, the CFO India magazine inducted Milind to the CFO India Hall of Fame.



K. N. Vaidyanathan : Governance
Mr. K. N. Vaidyanathan serves as the Chief Risk Officer at Mahindra and Mahindra. He serves as a Member of Board of Centre for Innovation Incubation and Entrepreneurship.

Mr. Vaidyanathan served as an Executive Director of Securities and Exchange Board of India. Prior to this assignment, he served as the Chief Executive Officer in Alchemy Capital Management Pvt. Ltd.

He served as the Head of Business at Mphasis Limited. He has held senior positions in Morgan Stanley Asset Management and HSBC.

Mr. Vaidyanathan earned an M.B.A. from the Indian Institute of Management, Ahmedabad.



Amrita Vakil : Governance
Ms. Vakil is an enterprising leader with an impressive history of building programs that communicates values, drives initiatives and delivers communications that break through. She is known for consistently demonstrating strategic vision and effective follow through in diverse challenges.

Ms. Vakil has exceled in all HR related functions i.e. training & development, employee welfare/ relation, liaison, talent acquisition, payroll, statutory compliances, performance appraisal, salary administration & grievance handling. She demonstrates capabilities in evolving innovative sales and promotional strategies, training and development & team management.

Ms. Vakil has great skills in co-ordinating and handling difference people and the ability to bring out the best in others while creating a healthy and friendly work environment.

Ms. Vakil has an illustrious career in Human Resource Management since 2000 and has worked for various social concerns. She has received award for raising funds for supporting the blind.



J. N. Gupta : Governance
Mr. Gupta is the Founder and Managing Director of Stakeholders Empowerment Services. He is ultimately responsible for all aspects of the firm’s strategy, team and operations. He has over 37 years of diversified professional experience in public and private sector including two terms with securities market regulator (SEBI) in India. In his first stint with SEBI (1994-96), Mr. Gupta was the Division Chief of Primary and Secondary Market Division. He was the SEBI nominee director on the boards of Pune and Vadodra Stock Exchange. He re-joined SEBI in July 2009 as Executive Director for a two year term and was in charge of Market Regulations, Surveillance, Derivatives and New Products departments. He was a member secretary of the Committee headed by Dr. Bimal Jalan, former Governor, RBI, to review market Infrastructure Institutions. He was also SEBI nominee on IOSCO Standing Committee, member of Steering Committee of CPSS-IOSCO. Mr Gupta is a B Tech (Electrical Engineering.) from IIT Kanpur (1977), CAIIB (1984), and Certified Financial Analyst, ICFAI (1991). He started his career with BHEL and later worked with State Bank of India, Indo Gulf Fertilizers Ltd & Grasim Industries Ltd. He also worked with Kazstroy service Group, Kazakhstan from 2001 to 2009, as Group CFO. He is also a member of International Corporate Governance Network (ICGN).

Mr. Gupta is also a member in the following Committees:

Rajesh Bagga : Compliance
Mr. Bagga, as President & Group General Counsel, is leading the steering of corporate restructuring, mergers and amalgamations at Reliance ADA Group.

Over 30 years of experience in mapping and managing legal, reputation and regulatory risk in Leading Corporations including Tata Motors, Unilever, Brooke Bond Lipton India and Usha International, instrumental in developing systems and resources for driving compliance.

Mr. Bagga has been a member of apex steering committees and a Global Lead for Human Resources, Employee relations, SHE, CSR, Admn and Global General Counsel. He has had a special focus on managing risk, people development, consumer and marketing law, IPR, indirect taxation, industrial relations and restructuring.

Mr. Bagga is also Co-Chairman of the Anti-Counterfeit Committee of The Society of Automobile Manufacturers.

Sandeep Parekh : Compliance
Sandeep Parekh is the founder of Finsec Law Advisors, a financial sector law firm based in Mumbai. He worked as an executive director at the Securities and Exchange Board of India, India’s securities regulator, where he headed the Legal Affairs and Enforcement departments and has been a faculty at the Indian Institute of Management, Ahmedabad. Previously, he has worked for a law firm in Delhi, Mumbai and before that for Wilmer Hale, a law firm in Washington, D.C. Sandeep focuses on securities regulations, investment regulations, private equity, corporate governance and financial regulations.

Sandeep has obtained an LL.M. (Securities and Financial Regulations) degree from Georgetown University and an LL.B. degree from Delhi University. He is admitted to practice law in New York and is a member of Mensa. He is a World Economic Forum “Young Global Leader” and a founding curator of the World Economic Forum’s “Global Shapers Community”. Sandeep has published op-eds in the Financial Times and the Economic Times (where he writes a column) and has been quoted in the WSJ, Economist, Bloomberg and CNBC. He has spoken at Davos and various World Economic Forum meetings. He has an active blog called Initial Private Opinion which is widely followed amongst experts in the Indian financial markets.

Sandeep has been a member of the Cabinet Secretariat task force for measuring performance in ministries and departments of the Government of India. He is a former chairman and member of various SEBI and RBI Committees and Sub-committees and is a member of Securities Committee of International Law Association, London and CII’s National Committee on Capital Markets. He has been recognized for exceptional standing in law by AsiaLaw, IFLR Legal500 and listed as Who’s Who of the World (Marquis) and Int'l Professional of the Year, IBC.World Economic Forum “Young Global Leader”



Savithri Parekh : Compliance
Ms. Parekh has over 26 years’ experience in multiple jurisdictions overseas and has worked in many fields such as Outsourcing services, Private Equity Fund of the Future Group, Media House (publishers of Business World, Telegraph, Anandabazar Patrika), and in Textile, Chemical and Pharmaceutical sectors.

She has led the arbitration against Movendo; established a proactive legal team increasing recoveries from overdue debtors; set up in house capability to handle acquisitions; established systems to have a lean legal and secretarial team and have cost optimization; established systems and tools for compliance management and board processes.

Ms. Parekh has appeared and argued independently before several for a including select committee of the Government on Drug Price Control Order; Press Council; enforcement Directorate; trade mark authorities; DGFT etc.

She has also been a Guest faculty at IIM - Calcutta for over 10 years, a regular faculty at the Secretarial Modular Training Programme of the ICSI and has been associated with an NGO and involved in developing and deploying a module on value based education for children.

Shyam Iyer : Compliance
Mr. Shyam Iyer brings an interesting combination of people and practicality. His entrepreneurial perspective of the HR profession is founded on an unshakeable belief in people—and supported by his in-depth understanding of HR and Organizational Development. He brings 19 years of rich work experience in the HR function across multiple industries: engineering, manufacturing, R&D, to name just a few. He has made significant contributions—at various stages of the maturity curve—for all kinds of companies, from start-ups to well established multinationals.

After a delightful and long professional career spanning with Tata Group, that spanned 13 years out of which 9 years as heading HR Function at Tata Power SED, Mr. Shyam Iyer decided to step down from full time employment and founded 60 Bits Consulting.

Mr. Shyam Iyer is a Certified in MBTI, NLP, TA 101, Mind Power and Certified Professional Facilitator from IAF [International Association of Facilitators] and has facilitated many HR initiatives and interventions which has won several external recognitions and industry best practices in Talent Development, Retention, Employee Engagement, Performance Management, Cultural Transformation and Change Management.

Shailesh Haribhakti : Compliance
Mr. Haribhakti is deeply involved in Auditing, Risk Advisory Services and Tax Services. During a career span of about decades, he has successfully established many innovative services. His current passions involve SME Ecosystem Transformation and Mentor Capital provision. He strongly believes in the virtues of Corporate Social Responsibility, Governance and promoting a greener environment.

He strongly believes in ‘shared value’ creation, good public and corporate governance and promoting a green environment. He actively promotes these causes, and contributes towards their evolution by participating in the process of framing regulations and standards.

Mr. Haribhakti lends his expertise to several professional and regulatory bodies, and has played a leadership role across several of these bodies including NSE, SEBI, IMC, CII, ASSOCHAM, IASB, IIA, BMA, ICAI and FPSB-India.

Amarjit Chopra : Ethics
Highly acclaimed Chartered Accountant for 35 years, Mr. Amarjit Chopra was the President of the Institute of Chartered Accountants of India during 2010-11 and Vice-president the year before. He chaired several important committees that dealt with auditing and accounting standards, corporate governance and banking at the national level and IFAC, CAPA and SAFA at the international level. He was also on the Board of IRDA and India First Life Insurance Company Ltd (a joint venture between Bank of Baroda, Andhra Bank and Legal & General).

He is also on the board of I am on the Board of Rico Auto Industries Ltd., Roop Automotives Ltd, Tata Power Delhi Distribution Ltd, Accounting Research Foundation Ltd., Garden reach Shipbuilders & Engineers Limited (A Defence Company of Government of India) and a faculty on the roaster of IMF.

He has also been a faculty in India and abroad namely Pakistan, Srilanka, Bhutan, Mynmmar, Bahrain, Abudhabi, Dubai, Muscat, Nepal, Indonesia, Mauritius etc. in more than 2750 professional programmes.

Prof. G. Ravindran : Ethics

New insights include non-hierarchical organisations, employee-structure, multi- facet diversity, proactive workforce readiness and why collaboration always beats competition.

S. Chandran : Ethics
Mr. Chandran works in the core Business Ethics team at TCS and is responsible for designing and implementing the Business Ethics program at TCS

Having worked in the industry for several years in engineering and management roles, he combines his first hand experience from his line management roles in the promotion and application of ethics principles to business scenarios.

He has designed and conducted several training programs on business ethics, published papers, and has been active in promoting ethics within the Tata companies.

He is also a senior member of IEEE, member of IEEE Society for Social Implications of Technology.



Shabnam Siddiqui : Ethics
Shabnam Siddiqui is Director, Centre of Excellence for Governance, Ethics and Transparency (CEGET) at UN Global Compact India. Shabnam is an academic practitioner with twenty one years of experience in gender, peace and governance work, of which thirteen years have exclusively focused on governance, ethics and transparency initiatives and interventions. Shabnam specialises in developing and executing strategic interventions through multi-stakeholder networks, is skilled at training and research and has several national and international publications to her credit.

The 5th of October marks the beginning of the compliance week through an opening ceremony in Pune. The ceremony includes a Legatrix training session, an interactive session on Intellectual property rights and a panel discussion.

During the Week from 05/10 to 10/10

The Legasis team visited various companies across 10 states in India and celebrated the Compliance week. The agenda included awareness campaign on compliance and methods for making the programs effective. During the visit, posters and banners were displayed to promote the mission and compliance awareness material was distributed to the attendees.

The Compliance Awards ceremony was held at the Four Seasons Hotel, Worli, Mumbai, on October 10, 2015.

Panel Discussion

The event in Mumbai commenced with a panel discussion on “Criminalization of Indian business” and the impact of “Compliance by choice”. Globally, the legal and regulatory environment has become stricter, dynamic and increasingly complex as Governments try to manage the economic environment in the face of increasing complexity and volatility. Given this background, now, more than ever, it has become imperative for businesses to focus on Corporate Governance, Compliance & Ethics. For business sustainability and enhancement of stakeholder value, corporations need to view “Compliance by Choice” as an integral aspect of business building and in many instances, a key differentiator against competitors.

Live Streaming - Mr. Richard Bistrong

One of the highlights of the evening (between 5 PM to 6 PM) was a live telecast interview with Mr. Richard Bistrong, front-line FCPA and Anti Bribery Compliance Consultant. He is a recognized blogger, guest-writer and speaker in the field of anti-bribery compliance, reflecting on front-line issues which impact international business teams and compliance personnel.
The interview was conducted by Mr. Ramesh Sharma, Executive Director at Legasis Services Pvt. Ltd; the retired Director General of Police, Madhya Pradesh. As DG, Economic Offences Wing /Anti-Corruption Bureau, he acquired expertise on ethics, compliance, anti-bribery and anti-corruption issues, besides investigation of fraud and other economic crimes.
